Using This Site

1. What ProByName Is

ProByName lets a professional describe the services they offer and where they serve, and lets a customer and that professional keep the facts of their work together — requests, quotes, appointments, completed work, invoices, and payment records.

What ProByName is not, stated as plainly as we can:

• Not a lead marketplace. A request goes to the one professional it was addressed to. It is never sold, shared with competitors, auctioned, or routed to whoever is available.
• Not a matching service. We do not choose a professional for you or rank them against each other.
• Not a party to your agreement. The work, the price, and the promise are between you and the professional. We are not a contractor, employer, agent, or guarantor.
• Not a verification service. Facts on a listing are stated by the professional and labelled as such. We do not check licences, insurance, or backgrounds, and we do not present anything as checked when it was not.

2. If You Are Hiring Someone

Do the diligence you would do anywhere else. Ask for a licence number and confirm it with your state. Ask for proof of insurance. Get the scope and price in writing before work starts — the quote flow exists so that you have exactly that.

You are responsible for what you agree to. Nothing on this site becomes a recurring commitment unless you separately and affirmatively agreed to the recurrence, and the software enforces that.

3. If You Are A Professional

You are responsible for:

• every fact you state on your listing being true and current;
• holding the licences, permits, insurance, and registrations your work and your state require;
• having a lawful basis for any customer information you enter, and telling your customers you moved to new software;
• the work itself, its quality, and any promise you make about it.

Your portable business and operational records remain available to you regardless of plan status. That portability does not make a customer or their privacy, consent, communication preferences, account rights, or exports your property. ProByName does not take a commission on work between you and a customer.

4. Acceptable Use

Do not use this site to:

• impersonate another person or business, or list a business you do not operate;
• state a licence, certification, or insurance you do not hold;
• scrape, harvest, or bulk-collect listings or contact details;
• send unsolicited commercial messages to anyone you reached through it;
• attempt to access an account, record, or link that is not yours;
• interfere with the service or probe it for vulnerabilities without permission.

We can suspend or remove a listing or an account that does any of these. If you believe a listing is false or harmful, email dane@probyname.com and tell us what is wrong with it.

5. Links We Send You

Some actions work through a link addressed to you rather than an account. Treat that link like a key: anyone holding it can do what it permits. Do not forward one to someone you would not want acting on your behalf.

6. The Site Is Provided As It Is

The service is provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including any implied warranty of merchantability, fitness for a particular purpose, title, or non-infringement. We do not warrant that the service will be uninterrupted, timely, secure, or error-free, or that any professional listed on it is suitable for your work.

This is a product in active development. Features may change or be withdrawn. Where we have granted you a specific right in a separate agreement, that agreement governs that right.

7. Limitation Of Liability

To the fullest extent permitted by law, ProByName LLC is not liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or relating to your use of the service — whether based in contract, tort, negligence, strict liability, or otherwise, and even if we were told such damages were possible.

Our total liability for all claims relating to the service is limited to the greater of the amount you paid ProByName LLC in the twelve months before the claim, or one hundred US dollars.

We are not liable for the acts, omissions, work, conduct, or safety of any professional or any customer. Some jurisdictions do not allow certain limitations, so parts of this section may not apply to you.

8. Indemnity

You agree to indemnify and hold harmless ProByName LLC and its member from any claim, loss, or expense — including reasonable legal fees — arising from your use of the service, your breach of these terms, information you supplied, or work you performed or received.

9. Governing Law And Where Disputes Go

These terms are governed by the laws of the State of Louisiana, without regard to its conflict-of-laws rules. Any dispute relating to them or to the service will be brought exclusively in the state or federal courts located in Lafayette Parish, Louisiana, and you consent to that jurisdiction and venue.

Before filing anything, email us. Most problems are a misunderstanding and we would rather fix it than litigate it.

10. Events Outside Our Control

We are not liable for failure or delay caused by something beyond our reasonable control, including outages at an infrastructure provider, network failure, natural disaster, severe weather, or government action.

11. If The Service Ends

If we discontinue the service or any part of it, we will give at least 30 days' notice to the email address on your account and keep export available throughout that period, so you can take your records with you. We will not hold your records hostage, and we will not require a payment to release them.

12. Changes To These Terms

We may update these terms. Changes apply going forward, not backwards, and we will change the date at the top. A right you were already granted is not removed by a later edit to this page.
